By accessing or using AMINA AI ("Service"), operated by SAYPEACE SOLUTIONS LTD, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you and SAYPEACE SOLUTIONS LTD ("Company," "we," "our," or "us") regarding your use of the Service.

2. Service Description

AMINA AI is an AI-powered customer support platform that provides the following capabilities:

• Create AI agents trained on your organization's knowledge base
• Integrate with WhatsApp, Facebook Messenger, and Instagram for automated customer responses
• Manage customer conversations across multiple communication channels
• Build knowledge bases using documents, URLs, and text content
• Track conversation analytics and performance metrics
• Embed chat widgets on your website

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Account Responsibilities

3.1 Account Creation

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information during registration
• Have the authority to bind your organization to these Terms
• Maintain the security of your account credentials

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your team members comply with these Terms

3.3 Organization Accounts

If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. The organization will be responsible for all activity conducted through the account.

4. Acceptable Use Policy

When using our Service, you agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is harmful, offensive, or infringes intellectual property rights
• Use the Service to send spam, phishing, or malicious content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any illegal or fraudulent purpose
• Misrepresent your identity or affiliation with any person or organization
• Train AI agents with content that promotes violence, discrimination, or illegal activities
• Use the Service in a manner that could harm minors

We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its design, features, and functionality, is owned by SAYPEACE SOLUTIONS LTD and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written consent.

5.2 Your Content

You retain ownership of all content you upload to the Service, including knowledge base content, documents, and configurations. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing the Service.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without any obligation to compensate you.

6. Third-Party Integrations

6.1 Meta Platforms

Our Service integrates with Meta platforms including Facebook Messenger, Instagram, and WhatsApp. When you use these integrations:

• You must comply with Meta's terms of service and platform policies
• You are responsible for obtaining any necessary permissions from Meta
• We are not responsible for changes Meta makes to their APIs or policies
• Integration availability depends on Meta's platform status

6.2 AI Processing

Our Service uses Google Gemini API for AI processing. Your use of AI features is subject to Google's terms of service. We make no guarantees regarding AI response accuracy, and you should review AI-generated content for accuracy and appropriateness.

7. Payment Terms

7.1 Fees

Certain features of the Service may require payment. Fees are disclosed before you subscribe to paid features. All fees are stated in the applicable currency and are non-refundable unless otherwise stated.

7.2 Billing

If you subscribe to paid features, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information up to date.

7.3 Changes to Pricing

We may change our pricing at any time. Price changes will take effect at the start of the next billing cycle following notice to you.

8. Limitation of Liability

To the maximum extent permitted by law:

• We do not guarantee that the Service will be error-free or uninterrupted
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for damages arising from third-party integrations or services
• We are not liable for the accuracy of AI-generated responses

9. Indemnification

You agree to indemnify, defend, and hold harmless SAYPEACE SOLUTIONS LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@saypeace.ng or through your account settings. Upon termination, you will lose access to the Service and your data may be deleted in accordance with our Privacy Policy.

10.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe that you have violated these Terms. We will provide notice of termination unless immediate termination is necessary to protect the Service or other users.

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall continue in effect, including intellectual property provisions, disclaimers, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of Nigeria. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.
